CARVE: Deregistration of overseas subsidiary Vietnam Haixin Electronics Co., Ltd

CARVE announced that the company held the 14th meeting of the third board of directors on June 23, 2025, and approved the proposal to deregister its overseas subsidiary, Vietnam Haixin Electronics Co., Ltd. The registered capital of this subsidiary is 38.34 billion Vietnamese Dong, and its registered address is in the Yian Industrial Zone, Xingshi Township, Xingyuan County, Nghe An Province, Vietnam. This deregistration is based on the consideration that the company currently has no actual operating business, which is beneficial for reducing management and operational costs, optimizing the organizational structure, and improving management and operational efficiency. The deregistration will not affect the company's business development and sustainable profitability, and Vietnam Haixin Electronics Co., Ltd. will no longer be included in the company's consolidated financial statements
