According to the Zhitong Finance APP, Feymer Technology (688350.SH) announced that its shareholder holding more than 5%, Jiangsu Feixiang Chemical Co., Ltd. (referred to as "Feixiang Co."), signed a "Share Transfer Agreement regarding Jiangsu Feymer Technology Co., Ltd." with Shanghai Gengrui Asset Management Co., Ltd. (representing the "Gengrui Hongsheng No. 1 Private Securities Fund" (specific name subject to actual filing information), referred to as "Hongsheng No. 1 Fund") on July 17, 2025. Feixiang Co. intends to transfer its 6.1076 million shares of unrestricted circulating shares to Shanghai Gengrui at a price of 16.38 yuan/share (determined based on the closing price of the trading day before the signing of the transfer agreement, not less than 80% of the closing price of the previous trading day), accounting for 5% of the company's total share capital.
The sole investor of the Hongsheng No. 1 Fund is Mr. Pang Chao, who is the actual controller of Zhangjiagang Xinhuhua Wool Spinning Co., Ltd. (referred to as "Xinhuhua Wool Spinning"). Based on good mutual trust and long-term development strategy considerations, and in the spirit of "mutual benefit and achieving a win-win situation," the company and Xinhuhua Wool Spinning completed the signing of a "Strategic Cooperation Agreement" on July 17, 2025, after friendly consultations between both parties.
