IAT plans to establish a joint venture named Fanchang IAT to promote the research and mass production of electromagnetic clutches
IAT and Wuhu Huaan Zhanzhen signed a joint venture agreement to jointly invest in the establishment of IAT New Energy Powertrain (Fanchang) Co., Ltd., with a registered capital of 672 million yuan. IAT contributes 602 million yuan through equity and technology from its wholly-owned subsidiary, accounting for 89.58%; Wuhu Huaan Zhanzhen contributes 70 million yuan in cash, accounting for 10.42%. The joint venture will focus on the research and development and mass production of electromagnetic clutches, aiming to integrate industrial resources and enhance production capacity and customer response efficiency
According to the announcement from Zhitong Finance APP, IAT (300825.SZ) announced that on October 31, 2025, the company (Party B) signed a "Joint Venture Agreement" with Wuhu Huaan Zhanxin Equity Investment Fund Partnership (Limited Partnership) (referred to as Wuhu Huaan Zhanxin, Party A). Both parties agreed to jointly invest in the establishment of a joint venture company, IAT New Energy Powertrain (Fanchang) Co., Ltd. (tentative name, referred to as Fanchang IAT or the joint venture company) in Fanchang District, Wuhu City, Anhui Province, and to carry out operations.
Fanchang IAT has a registered capital of 672 million yuan, of which IAT contributes 425 million yuan through 100% equity of its wholly-owned subsidiary Sichuan IAT New Energy Vehicle Co., Ltd., and 177 million yuan through the valuation of related technologies for the integrated pure electric vehicle powertrain R&D project, totaling 602 million yuan, accounting for 89.5757% of the total registered capital; Wuhu Huaan Zhanxin contributes 70 million yuan in cash, accounting for 10.4243% of the total registered capital. This external investment is made through the 100% equity and related intellectual property rights of the wholly-owned subsidiary held by the company, and the joint venture company will be included in the company's consolidated financial statements after its establishment.
According to the announcement, the company plans to establish a joint venture in Wuhu City, Anhui Province, to implement the new energy vehicle powertrain project, further integrate high-quality regional industrial resources, expand existing production capacity, accurately meet the needs of "chain master" enterprises in the industrial chain, enhance customer response efficiency and delivery flexibility, and deepen business cooperation relationships. After the establishment of the joint venture company, it will promote R&D and mass production with the electromagnetic clutch as the core product and gradually explore a more diversified product line to improve business layout
